The Lutech Group has announced the acquisition of 100% of the shares of Advantage, a Parma-based system integrator specializing in digital transformation projects in manufacturing, aimed at accelerating the business integration processes of client companies, accompanying them step by step on their innovation journey.
Lutech is an Italian group of more than 2,700 professionals who lead the Digital Evolution of large customers and SMEs in the public and private sectors, in Italy and abroad, with specific expertise in 9 vertical sectors: Energy and Utilities, Fashion, Financial Services, Healthcare, Manufacturing, Media, Public Sector, Retail and Telco.
In the acquisition operation, the firm Avvocatidienfirma assisted the sellers of Advantage with the Attorney. Alberto Calvi di Coenzo and the Lawyer. Rosanna Frischetto.

Caiazzo Donnini Pappalardo with Lutech in a double acquisition – Legal Community
The firm Caiazzo Donnini Pappalardo & associati assisted the Lutech group, active in the IT sector, in two acquisition operations.
The first concerns 100% of the shares of Advantage, Parm’s system integrator specializing in digital transformation projects in manufacturing, aimed at accelerating the business integration processes of client companies, accompanying them step by step on their innovation journey. The second concerns lnfoedge, an Italian company that has been creating and implementing IT projects for the finance and insurance sectors since 2010.
In both operations, the team of the law firm Caiazzo Donnini Pappalardo & Associati was composed of Roberto Donnini (pictured left) and Alessandro Pilarski.
Advantage’s sellers were assisted by the law firm Avvocati di Impresa, with Alberto Calvi di Coenzo and Rosanna Frischetto. The seller, in the deal on lnfoedge, was instead assisted by Hi.Lex, with managing partner Marco Carbonara.
Lutech (Apax Partners) also buys Advantage – Milano Finanza, BeBeez
Lutech, an Italian leader in IT services and solutions, controlled since last spring by Apax Partners (see another BeBeez article), has announced the acquisition of 100% of Advantage, a company specializing in digital transformation projects in manufacturing, aimed at accelerating the business integration processes of client companies, accompanying them step by step on their innovation journey (see the press release here).
In Operation Advantage, she was assisted by Ocean Mechant as financial advisor and by the firm Avvocatidilmpresa on the legal front, while the firm Caiazzo Donnini Pappalardo & Associati assisted the Luthec Group.
Founded in 2000 by Vito Lazzara and Manfredo Caprice D’Alessandro, Advantage is based in Parma and has achieved a leading role among system integrators, particularly in Automotive, Aerospace, Medical Device & Life Science, industrial Equipment and Machine Building, counting among its references several excellences of Made in ltaly. The company closed 2020 with revenues of €4.75 million, an EBITDA of €976,000, and net liquidity of €767,000 (see the Leanus report here, after registering for free).

The announcement of the acquisition of Advantage comes just a few days after the acquisition of lnfoedge, a company specializing in lnformation Technology, with a particular focus in the areas of Business Analytics, Data Management and Enterprise Application, mainly for the insurance sector (see another article by BeBeez).

Apax Partners announced the signing of the acquisition agreement last March. One Equity Partners (OEP) sold control of the group, based on a valuation of €500 million (see another BeBeez article). The group closed 2020 with consolidated revenues of €423 million, an eBITDA of €36.6 million, and net financial debt of €131.5 million (see the Leanus report here, after registering for free).
Lutech has grown significantly in recent years thanks to aggressive m&a: since it was acquired by OEP in 2017, there have been 16 acquisitions. In particular, at the end of May 2019 it purchased Disc, a historic software house integrator system specialized in the design and development of IT solutions (see another article by BeBeez) and which also in 2019 Turin-based Finance Evolution (Business Process Consulting services for banks and other financial operators) joined the group, Enigen (Salesforce’s Platinum Partner, of which it is the only authorized certified training center in Italy); and the Padua-based Mediana (solutions focused on the core business processes of the Energy&Utilities sector). While in 2018 it acquired Diem Technologies, a company founded in 2000, based in Genoa and specialized in satellite communication systems and digitai broadcasting (November 2018, see another BeBeez article); Tecla.it, a company specialized in digitai commerce that has been on the market for over 20 years (November 2018, see another BeBeez article); lct CDM Tecnoconsulting spa and its subsidiaries (October 2018, see more BeBeez article) and Nest 2 (May 2018).
