In the leveraged buyout transaction, investors were assisted by Avvocatidiimpresa, while the law firm Dentons partnered with Banco BPM. OMH4’s Club Deal, promoted and managed by Studio Sebastiani and Ocean Merchant, acquires the majority stake in the Kintek Group of Mappano (Turin) with the financial support of founders and entrepreneurs Laura Cedro and Piero Ozimo, who in turn reinvest in the minority capital, maintaining full operational and industrial management of the Group. The Kintek Group engineers, manufactures and distributes high-quality industrial technomechanical components, particularly tool holders, for various machine equipment (numerically controlled lathes and cutters). The Group is divided into a commercial company and two exquisitely productive subsidiaries, one Italian and one Hungarian, and is among the leading global brands in the sector. The transaction was structured as a leveraged buyout and financed by Banco BPM, assisted by the law firm Dentons with a team led by partner Alessandro Fosco Fagotto and composed of Associates Matteo Mosca and Giulia Caselli Maldonado. The investors were assisted with the legal part relating to the acquisition and co-investment transaction by Avvocatidienza with partners Alberto Calvi di Coenzo and Rosanna Frischetto. Ocean Merchant provided assistance with partners Alessandro Sebastiani, Tommaso Franzini, and Edoardo Lattuada. Epyon Consulting Srl worked on the accounting side with partner Cesare Zanotto and manager Giulia Carosella, while Studio Sebastiani/Dusano Consulting Srl provided assistance on the labor and tax side with partner partners Barbara Mazzolini and Michele Bolpagni. Finally, Interstudio Srl acted on the environmental and safety side, with partner Lorenzo Zanardelli and Cristian Lina.

OMH4 club deal controls Kintek mechanical component – Milano Finanza, BeBeez

The OMH4 deal club, promoted and managed by the Brescia-based law and tax firm Studio Sebastiani and financial advisor Ocean Merchant, has acquired a majority stake in the Kintek Group of Mappano (Turin) from founders Laura Cedro and Piero Ozimo, who have reinvested and will maintain full operational management of the group (see the press release here). The operation, perfected with the classic LBO scheme, was financed by Banco BPM, assisted by Dentons’ lawyers.

A pattern that has already been tried and tested was then repeated. In fact, the tandem Studio Sebastiani – Ocean Merchant had previously promoted another club deal, united in the Matilda Holding vehicle, which in April 2019 had acquired from the founding families Ie Cremonese companies of mechanical components for industrial automation Autorotor srl and Autcam srl (see another article by BeBeez). Even in that case, debt financing had been provided by Banco BPM, assisted by Dentons.

On the other hand, the two promoters are specialists in the mechanical sector. In June 2020, for example, they assisted Oleodinamica Marchesini, controlled by the German private equity fund Auctus Capitai Partners, in the acquisition of the hydraulic cylinder component manufacturer Naldoni and Biondi (see another article by BeBeez).

OMH4 was followed for financing by Avvocati di impresa, for the financial part by Ocean Merchant, for the accounting part by Epyon Consulting srl, for the labor and tax part Studio Sebastiani/Dusano Consulting srl, for the environmental and safety part by lnterstudio srl and for the alloy part I and again by Avvocatidiimpresa.

Kintek manufactures industrial mechanical components, particularly tool holders for numerically controlled lathes and cutters. The group, which is divided into a commercial company and two production subsidiaries, one Italian and one Hungarian, is among the leading global brands in the sector. Strong export propensity and logistics capacity, which allows you to make deliveries within 24 hours of receiving your order. Kintek employs approximately 85 people at its headquarters in Mappano (Turin) and Békéscsaba (Hungary) and in 2020 had a group turnover of approximately 10 million euros for 3 million ebitda.

The goal of the acquisition is to further expand and grow in international markets, consolidating Kintek’s Ila presence and developing new commercial channels. However, development plans also include further acquisitions and entry into new, previously unexplored market niches, including micromechanics.
