Recently, Probios increased its stake in Bms to 60%.

THE ADVISORS

In the context of the transaction, the M&A advisory part was handled by Agreen Capital, while the Avvocatidienprise firm – with managing partner Alberto Calvi of Coenzo – handled the legal aspects.

THE DETAILS

The transaction confirms the mission of Probios Ventures, which pursues investments in companies that aim to innovate the world of food, accelerating its growth through capital, strategic expertise, and mentorship. The investment by Probios Ventures aims to compete in a growing global market, where the plant-based (plant-based) alternative sector is experiencing double-digit growth, with an ever-increasing focus on product quality, organoleptic characteristics, and functionality. Vegeatal founders Fabio and Piero Messana will be joined and supported by Fernando Favilli, an entrepreneur with extensive experience in the organic and plant-based food sectors.

The common goal is to generate well-being through food innovation and the application of cutting-edge technologies to ensure sustainable nutrition for people and the planet.
Considered one of the most dynamic and innovative companies in the sector, Vegeatal’s mission is to create products that are organoleptically excellent, surprising, and capable of redefining the sensory experience of plant-based and free-from food.

“The investment in Vegeatal, the first mover in this sector and the first transaction of Probios Ventures, represents an extraordinary opportunity for our corporate venture capital program to create value in a rapidly growing sector – comments Andrea Rossi (pictured), president of Probios and managing partner of Green Capital -. The area of plant alternatives to dairy and meat products is an extremely interesting one. The goal is to provide support to create a leading brand in the market by expanding product categories, sales channels, and international presence. Given the great potential, we do not exclude the sharing of the Vegeatal project with other national and international co-investors of the very first standing”.

“The future of well-being moves from sustainable nutrition, from products capable of satisfying new market trends and from stimulating new, increasingly plant-based and sustainable consumption habits – declares Renato Calabrese, CEO of Probios Group -. With this operation we aim to support the development of Vegeatal by making our wealth of expertise available to increasingly establish this initiative as a reference player in the healthy food, plant-based and free-from” fields.

With an R&D team constantly seeking new offerings, Vegeatal’s products include: the Mordibella line, a vegan alternative to cold cuts, the only gluten-free and 100% plant-based in mortadella, Hungarian, and roast flavors; GrattaVeg, a plant-based grating alternative made with red lentils; and StraccoVeg, a creamy spreadable, 100% plant-based. All alternatives to dairy products are also guaranteed gluten-free. The latest additions to the Deliveg line are delicious spoon desserts made with almonds and 100% vegetables in cocoa and vanilla flavors.
