New growth step for Probios Group (healthy, organic and free-from nutrition), which –with the support of its reference shareholder Agreen Capital – has acquired the majority share of BMS, an Umbrian company based in Spoleto active in the processing and marketing of breakfast cereals, seeds, legumes, gluten free flours and dried fruit. The operation brings Probios’ stake in BMS from 30% to 60%, strengthening the Group’s vertical integration strategy and consolidating its international presence. On the legal front, Probios Group was assisted by Studio Avvocatidimpresa, with managing partner Alberto Calvi di Coenzo (in the photo) as advisor. The team supported the Group in structuring the operation, ensuring oversight of the negotiation and contractual phases. As part of the operation, Probios Group was assisted by Studio Avvocatidimpresa for the aspects
legal, as well as from Agreen Capital and Epyon Consulting.
Probios Group, a reference company in the health, organic and free-from food sector,
with the support of its key shareholder Agreen Capital, it acquired the majority stake
by BMS Srl. With this step, the group’s stake in BMS goes from 30% to 60%.
The operation strengthens the vertical integration strategy of Probios Group and consolidates the development of the
its international presence in the organic and health food market.
The acquisition, supported by Agreen Capital and preceded by Probios’ initial entry into BMS, did
it inserts into the group’s growth and development path. Following the recent operations of
expansion, such as the acquisition of BiotoBio and historic Italian organic brands, Probios confirms
a turnover exceeding 100 million euros and a presence in over 45 countries, strengthening the capacity of
oversee the entire supply chain, from the raw material to the finished product.
The operation makes it possible to increase control over the supply chain, enhance know-how and skills
productive and guarantee operational solidity both on the European and international markets.
BMS Srl, with headquarters and factories in Spoleto, is active in the agri-food sector and specializes in
processing and marketing of breakfast cereals, seeds, legumes, gluten free flours and fruit
dry. The company stands out for the production of organic, health and free-from products, strengthening
thus the integrated offer of Probios Group.
Studio Avvocatidimpresa followed the legal aspects of the operation for Probios Group with the managing
partner Alberto Calvi from Coenzo, supporting the group in the structuring, negotiation phase and
transaction contract.
Agreen Capital acted as M&A advisor, while Epyon Consulting handled due diligence
